Winchester has concluded a number of transactions in the biotechnology and healthcare sectors. We serve a diversity of clients including universities and research institutions seeking to commercialise technologies in North America and Europe, multinational medical device companies and pharmaceutical groups. We have successfully assisted and invested into technology transfer platforms commencing from start-ups, resulting in initial public offerings in excess of $200 million. We are noted for our sourcing of direct, non-auction cross border healthcare transactions and execution. Representative transactions include:

Biocompatibles International
We originated and executed the acquisition of Divysio Limited, the proprietary Canadian stent company, to Biocompatibles International plc of the United Kingdom. We further assisted with the financing of its dedicated USA subsidiary to enable the acquisition. During the period of our activity with Biocompatibles, the company achieved a market capitalisation in excess of £1 billion, the highest for any biotech listed on the London Stock Exchange.

Brax Group
Following a technology transfer from the University of Liverpool, we were engaged by the directors of Brax Group Limited (UK), a development stage company, for the purpose of creating an exit strategy for this genomics technology. We conducted a global search for acquisition candidates and executed with Aventis.

ART Advanced Research Technologies
We originated and executed the acquisition of Alerion Biomedical, an innovative USA biomarker company, for our client, ART Advanced Research Technologies Inc. of Canada, a publicly traded company listed on the Toronto Stock Exchange. This opened a $5 billion market for our client and its shareholders, that include OppenheimerFunds and GE Healthcare.
